Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the website, private exchange, and related services (collectively, the "Services") operated by AK Real Estate Acquisitions LLC ("AK," "we," "us," or "our"), a Florida limited liability company. By accessing the Services, submitting a parcel, requesting credentials, or otherwise engaging with us, you agree to be bound by these Terms.
2. Nature of the Firm
AK Real Estate Acquisitions LLC is a private principal investment firm that acquires, underwrites, and repositions land parcels and related real property interests, primarily in the State of Florida. We are not a real estate brokerage, a registered investment adviser, a broker-dealer, or a public marketplace. The Services are made available solely for the benefit of institutional counterparties, accredited capital partners, licensed real estate brokers, builders, and similar qualified participants.
3. Eligibility and Authorized Access
Access to the private exchange and other gated areas is by invitation or credential only. You represent and warrant that (a) you are at least 18 years of age; (b) you have full legal authority to enter into these Terms on your own behalf or on behalf of the entity you represent; and (c) any credentials issued to you are used solely by authorized personnel of your firm. AK may revoke access at any time, with or without cause.
4. No Offer; No Advice
Nothing on the Services constitutes an offer to buy or sell, or the solicitation of an offer to buy or sell, any security, property interest, or other instrument, nor does it constitute legal, tax, accounting, investment, or real estate advice. All indications of interest, valuations, target ranges, and pipeline data are preliminary, non-binding, and subject to underwriting, diligence, definitive documentation, and final approval by AK's investment committee.
5. Capital Partner Communications
Any information distributed to capital partners — including parcel summaries, underwriting models, and pipeline reports — is confidential and intended only for the named recipient. Recipients may not reproduce, forward, or redistribute such materials without AK's prior written consent. Participation in any specific transaction is subject to definitive transaction documents and applicable securities laws.
6. Confidentiality
You agree to treat all non-public information made available through the Services — including parcel-level data, valuations, counterparty identities, and credential codes — as confidential. You will use such information solely to evaluate a potential transaction with AK and will protect it with at least the same degree of care you use for your own confidential information.
7. Acceptable Use
You will not (a) attempt to access any portion of the Services for which you have not been credentialed; (b) reverse engineer, scrape, or copy the platform; (c) submit false, misleading, or third-party-confidential information; or (d) use the Services in violation of any applicable law, including federal and Florida real estate, securities, anti-money-laundering, fair housing, and consumer protection laws.
8. Intellectual Property
The Services, including all software, content, branding, and underwriting frameworks, are owned by AK Real Estate Acquisitions LLC or its licensors and are protected by intellectual property laws. No rights are granted to you except the limited right to access the Services as expressly permitted by these Terms.
9. Disclaimers
The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. AK does not warrant that parcel data, market data, or pipeline data will be error-free or complete.
10. Limitation of Liability
To the maximum extent permitted by law, AK Real Estate Acquisitions LLC and its members, managers, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from or relating to your use of the Services. AK's aggregate liability arising out of or relating to these Terms will not exceed one hundred U.S. dollars (US$100).
11. Indemnification
You will indemnify and hold harmless AK Real Estate Acquisitions LLC and its affiliates from any claim, loss, or expense (including reasonable attorneys' fees) arising from (a) your breach of these Terms; (b) information you submit through the Services; or (c) your violation of any law or third-party right.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising from these Terms or the Services will be the state or federal courts located in Pinellas County, Florida, and you consent to personal jurisdiction in those courts.
13. Changes to the Terms
AK may modify these Terms from time to time. Updated Terms will be posted on this page with a revised Effective Date. Continued use of the Services after a change constitutes acceptance of the updated Terms.
